Our firm works with individuals and organizations to determine the best way to structure and capitalize a business, whether it may be by establishing a corporation, partnership, limited liability company, or some other form of venture. We provide ongoing representation of these organizations with regard to internal governance, as well as compliance with governmental filing requirements.

General Business Advice

For many of our clients, we frequently fill the role of “outside general counsel” for their business matters.  We understand the time and hard work that our clients have invested to make their businesses succeed. We focus on our clients’ unique circumstances and objectives and understand how to reduce taxes and strengthen a business’ position in the marketplace.  We also understand the various contracts, including operating agreements, employment agreements, independent contractor agreements, non-disclosure agreements, etc., that are essential to the success of any business.

Business Succession Planning

We often are called upon to help business owners plan for the eventual transfer of the business, whether it may be a sale or transfer to a family member, sale to a partner, sale to a key employee, sale to an equity investor, or sale on the public market. Succession planning can be a difficult process. We have worked with companies to develop appropriate strategies (e.g., outright sale of the business, recapitalization, gift programs, employee stock option plans, and shareholder agreements).

We assist clients in the integration of business planning techniques and estate planning by providing advice on the tax and non-tax issues attendant to the transaction, including capital structure reorganizations and valuation issues.  We also work with third party financial advisors to locate the highest and best value for our clients’ businesses.

While our firm was formed to focus on estate planning and estate administration, we quickly responded to our clients’ needs to handle business planning, transactions, and litigation matters because our clients wanted to continue working with us relating to other aspects of their lives and businesses. In many firms clients are passed on to other practice groups or referred to other law firms to handle issues outside of the trust and estate area. Our clients wanted to “keep it in the family” where they had developed a sense of trust, so we expanded and now are proud to provide a wide array of related services for our clients.
